BY-LAWS

OF

LAKES REGION CORVETTE CLUB

(Revised March 6, 2004)

ARTICLE I

Section 1  Name

  The name of the organization is LAKES REGION CORVETTE CLUB,  herein after referred to as “ the club “.

 Section 2  Purpose

 The general purposes of the club are to encourage planned trips, events and social activities for members, to provide and regulate events and exhibitions for Corvette owners, and to encourage careful, skillful and lawful driving on public highways. The LAKES REGION CORVETTE CLUB strongly supports and encourages safe driving practices.  All members are expected to drive safely and to obey all applicable state motor vehicle laws and regulations.  Each member is responsible for his or her own actions while driving.  The club assumes no responsibility for any action taken by a member, for any injury to any person or damage to any property.

 

ARTICLE II

Section 1   Members

The criteria for membership in the club is ownership of a Corvette.  The Board of Directors may award memberships to non owners at their discretion.

  Section 2    Club Jackets and Shirts

 Members are encouraged to purchase club apparel

 Section 3  Member Dues

 Membership - $35.00 annually

 Section 4   Payment of Dues

a.     Members will be required to pay dues upon entering the club and annually as of  January first thereafter.

b.     A new member who joins on or after October first must pay the full $35.00 fee, but they are not required to pay dues for the next calendar year.

c.      Dues are not refundable.

 Section 5   Expulsion 

Any member may be expelled from the club provided that four-fifths of the Board of Directors has determined that an expulsion is in order.

 Section 6   Resignation

 Members may resign, from the club, by directing a letter of resignation to the Secretary.  The Resignation shall be effective on receipt, provided all indebtedness to the club is paid.

  

ARTICLE III

 

Section 1  Election of Officers

a.    Nominations for the upcoming year's officers shall be made at the regular business meeting in October.

b.    The election of officers shall be held at the Annual Club Meeting in November.

c.    Newly elected officers shall take over the operation of the club effective the following  January first.

Section 2   Monthly Meetings

 Regular monthly meetings shall be held on the second Saturday of each month from October through April or at such other time as determined by the Board of Directors or the President.

.Section 3   Special Meetings

  Special meetings of the members may be called by the President or by a majority of the officers.


Section 4   Absentee Balloting

 Absentee balloting for election of officers or amendment of these By-Laws is permitted by written vote mailed to the club address. Such absentee ballot must be received at least 48 hours prior to the meeting at which said balloting is to take place.

ARTICLE IV

Section 1   Officers

 Elected officers shall consist of President, Vice President, Secretary, and Treasurer.

 Section 2   Board of Directors

 Board of Directors shall consist of all above mentioned officers and the Immediate Past President..

 

ARTICLE V

 

Section 1 Duties of Officers

 a.   President - The President shall preside at all meetings of the members and Board of Directors and shall perform the duties pertaining to this office.  He may call special meetings of members under the provisions of Article III.  He shall be the Chief Executive of the club.

 b.      Vice President In the absence of the President or in the case of his death, resignation or inability to act, the duties usually appertaining to that office shall be performed by the Vice President. 

c.   Secretary The Secretary shall attend meetings of the members and Board of Directors and shall record and keep all minutes He shall keep an up-to-date roll of all club members.  He shall give all notices of meetings of the members required by law or these By-Laws and shall perform all duties incident to this office, required by law or by the majority vote of the Board of Directors.  He shall have custody of the club's records.  In the absence of the Secretary from any of the said meetings, a Secretary pro tempore shall be chosen by the presiding officer.

d.   Treasurer - The Treasurer shall, subject to such conditions and restrictions as may be made by the Board of Directors, have custody of all monies, debts, and obligations belonging to the club.  He shall receive all monies of the club and deposit same in the club account.  He shall make all payments of club debts upon approval of the Board of Directors.  All contracts, checks, drafts, notes or other orders for payment of money shall be signed in the name of the Club by any of the following officers: President, Vice-President  or Treasurer.  He shall give bond, at club expense, if required by the Board of Directors.  The Treasurer shall give a report on the financial status of the Club at the January Meeting, and if so requested, at any other meeting of the Board of Directors.  No obligation, debt or other liability shall be incurred by the Treasurer without the specific approval of the Board of Directors.

 

ARTICLE VI

Section 1 Appointment of Committees

 The President shall appoint committees from time to time and shall outline the duties and responsibilities of such committees.  Action proposed by a committee must be voted on bythe entire membership

  Section 2  Activities

 The activities of the Club shall consist of planned trips, social gatherings, and events for Corvette owners as planned by the Activities Committee and other members appointed by them or the President. 

ARTICLE VII

Fiscal Year

 The fiscal year shall be from January 1 to December 31.

  

ARTICLE VIII

 Personal Liability

 All persons or corporations extending credit to, contracting with, or having any claim against the club or the Board of Directors, shall look only to the funds and property of the club for payment of any such contract or claim or for payment of any debt, damage, judgment or decree or any other money that may otherwise become due or payable to them from the Corporation or the Board of Directors, so that neither the members of the Club, the Board of Directors, present or future, shall be liable personally therefore.

  

ARTICLE IX

Section 1   Proposing Amendments to the By-Laws

 The Board of Directors of the Club, or any ten Members in good standing by written proposals submitted to the Secretary, may propose an amendment to the By-Laws. Upon such proposal being made, a copy thereof shall be included in the notice of the next meeting of the members.

 Section 2   Voting for Amendments to the By-Laws

A vote to amend the By-Laws requires  a minimum of 15 members vote, either in person or by a properly submitted absentee ballot.  A two-thirds affirmative vote is required for the proposed amendments) to pass.
